Terms of Sale
These terms govern every purchase you make through a BorderRelay checkout or payment link. Please read section 2 first — it explains who you are buying from and who is responsible for what.

1. Who you are contracting with

In these terms, “we”, “us” and “our” mean Borderstride Morrow. “You” means the person or company making the purchase. Where a term applies only to consumers — natural persons acting outside their trade, business or profession — this is stated.
2. Our role: we are the seller, the supplier owns the product
Each product sold through our checkout originates with a supplier: the company that created it, delivers it and supports it. We buy that product from the supplier and sell it on to you in our own name and for our own account towards you. In payments terminology this role is called merchant of record; in Belgian law it is a commissionaire arrangement under Article 20 §1 of the Belgian VAT Code and Article 28 of Directive 2006/112/EC.
What follows from that, in practice:
We are responsible for
- The contract of sale with you, and the price you pay
- Charging and remitting the correct VAT
- Issuing your invoice under VAT BE0731511147
- Your consumer rights, including the right of withdrawal
- Payment, refunds and any payment dispute
The supplier is responsible for
- The content and quality of the product
- Delivering it and giving you access
- Support and questions about the product itself
- Any updates, schedules or sessions it includes
The supplier is named on the page where you buy and on your invoice. Questions about your payment or your invoice come to us; questions about the product go to the supplier. If you are not sure which it is, write to us and we will route it.
3. How the contract is formed
The product page states what is offered, at what price, and by which supplier. The contract comes into being when you complete payment and we confirm your order by email. Until that moment there is an order, not a contract, and no invoice is issued.
We may refuse an order. Reasons include an incomplete or implausible address, a failed VAT-number validation, a suspicion of fraud, a sanctions match, or the product not being available in your country. If we refuse an order after payment, we refund it in full without deduction.
4. Prices and VAT
Prices shown to consumers include VAT. The applicable rate depends on where you are established:
- Consumers in Belgium — Belgian VAT.
- Consumers elsewhere in the EU — the VAT rate of your own country, which we declare and pay through the Union One Stop Shop scheme.
- Consumers outside the EU — outside the scope of EU VAT; no EU VAT is charged.
- Businesses in the EU outside Belgium — the reverse charge applies, provided your VAT number validates through VIES before payment. The invoice then carries no VAT and states that VAT is reverse charged.
If a price is displayed in a currency other than the euro, the euro amount on your invoice is converted at the European Central Bank reference rate for the day of payment. The rate used is recorded on the invoice.
5. Payment
Payment is made at the moment of ordering, through the payment methods offered at checkout. Card details are entered directly with our payment provider and never reach our systems. Your invoice is issued once payment is complete and is sent to you by email.
Your bank or card statement will show Borderstride Morrow, not the supplier. This is a consequence of section 2. If you do not recognise a charge, please contact us before disputing it with your bank — we can usually resolve it the same day.
6. Delivery and access
Digital products are delivered by the supplier, normally immediately after payment and in any event without undue delay. You receive access at the email address you entered at checkout, so please make sure it is correct.
If access has not reached you within a reasonable time, contact us. We will pursue it with the supplier and, if delivery cannot be achieved, refund you.
7. Right of withdrawal
If you are a consumer you have a right of withdrawal of fourteen days. Because these are digital products delivered immediately, that right can be waived — and at checkout you are asked whether you wish to do so, before delivery begins.

8. Conformity and complaints
Products must correspond to their description and possess the qualities you may reasonably expect. If a product does not, the statutory remedies apply: bringing it into conformity, a price reduction, or termination of the contract with a refund.
Send complaints to relay@borderstride.com with your invoice number and a description of the problem. We acknowledge within two working days and aim to resolve within fourteen days. Where the complaint concerns the content or delivery of the product, we take it up with the supplier on your behalf.
9. Liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that may not be limited under Belgian law. The statutory rights of consumers are not affected by this section.
Beyond that, our liability towards you is limited to the amount you paid for the product concerned. We are not liable for indirect or consequential loss, including loss of profit, loss of data or business interruption.
We are not liable for the content of a product — what it teaches, claims or advises. That is the supplier's responsibility, and nothing you buy through us is professional, legal, medical or financial advice unless the supplier explicitly says so and holds the qualifications to give it.
10. Personal data
We are the controller for the personal data we process to sell to you, invoice you and support you. What we collect, why, on what legal basis, how long we keep it and what rights you have is set out in our Privacy Statement.
11. Complaints and dispute resolution
Please always contact us first — most matters are resolved directly. If we cannot reach agreement, a consumer in Belgium may bring the matter to the Consumer Mediation Service (Consumentenombudsdienst): https://consumentenombudsdienst.be/en. Consumers in other member states may approach the European Consumer Centre in their own country.
12. Applicable law and jurisdiction
These terms are governed by Belgian law. If you are a consumer, this choice does not deprive you of the protection of mandatory rules of the country where you habitually reside, and you may bring proceedings in the courts of that country.
For business buyers, the courts of Antwerp, division Turnhout, have exclusive jurisdiction.
13. Changes to these terms
We may change these terms for future purchases. The version that applies to your purchase is the version in force at the moment you ordered; its number is recorded with your order and printed on your invoice. Changing a published version without raising its number does not happen.
